Vitality Acquires Icario to Create Industry-First Member Experience Platform That Connects Activation and Engagement with Population Health Outcomes for Health Payers

Acquisition expands Vitality’s capabilities to engage more people in their health, helping them take action to turn engagement into measurable health outcomes at scale, and transforming health plan members’ experience with their health plan

Chicago, IL (Sept. 3, 2026) – Vitality, a global leader in behavioral change, helping health plans and employers deliver better health and financial outcomes, is pleased to announce the acquisition of Icario, a leading digital-first health action company that helps health payers motivate members to take meaningful steps to drive better health outcomes.

The acquisition creates a connected, end-to-end model transforming how millions of members engage with their health – with a focus on prevention, early intervention, and sustained, long-term engagement and behavior change. This move significantly expands Vitality’s reach and impact in the U.S. market, as the combined organization will serve 19 million members and 30% of U.S. health plans, including eight of the country’s 10 largest plans.

Vitality will unite Icario’s expertise in identifying and activating hard-to-reach populations and those most in need of health support, bringing it together with Vitality’s intelligence and engagement model. This will enable health plans to identify risk and actively reduce it by helping more members better understand their health and take steps to form long-term habits for improvement. The result is a solution uniquely capable of helping more people take the most important actions to improve their health today and into the future.

Creating ongoing engagement is vital and a missed opportunity, with data showing people who engage with Vitality demonstrate 34% higher engagement with primary and preventive care services. Every 10% increase in engagement drives a further 5% increase in participation across other connected health management solutions.*

A New Standard in Member Engagement and Outcomes

The acquisition comes at a time when U.S. health plan costs are rising rapidly, projected to increase as much as 10% next year,^† driven by factors including lifestyle-related risk factors and inefficient use of healthcare resources. Lifestyle behaviors alone account for 28% of healthcare costs.^‡ Vitality addresses this directly – connecting proactive engagement to independently validated measures of health-management effort, future risk, and healthcare costs.

Today, members typically experience and engage with health plans through transactional moments such as enrollment, ID cards, bills, claims, prior authorizations, or isolated outreach – with recent research finding that only 30% of health plan members view their health plan as a trusted partner in their health.^§ Health plans have historically struggled to create sustained engagement beyond transactional moments, leaving too many members disconnected from opportunities to take preventive action, access care, or efficiently manage their health.

The acquisition will enable Vitality to provide a solution to these challenges. Health plans will have access to an AI-powered personalization platform that uses tailored messages, channels, and incentives to spark change across lifestyle behaviors, prevention, clinical actions, condition management, and care plan compliance. Beyond isolated interactions, Vitality will engage members in their day-to-day health and lifestyle behaviors in an experience that forms an ongoing, trusted relationship between the member and their health plan.

Vitality sought legal counsel from Taft, tax advice from BDO, and financial guidance from Houlihan Lokey. Icario was advised by Cain Brothers as its exclusive financial advisor and Weil, Gotshal & Manges LLP as its legal counsel in connection with the transaction.
